1. Introduction & Agreement

1.1. About Zyntro

These Terms of Use (“Terms”) govern your access to and use of the Zyntro platform, websites, applications, products, and services (collectively, the “Services”). The Services are owned and operated by Zyntro, Inc., a Delaware corporation (“Zyntro”, “we”, “our”, or “us”).

1.2. Acceptance of Terms

By accessing or using the Services, creating an account, or enabling any Zyntro module, you agree to be bound by these Terms, together with our Privacy Policy, Data Processing Addendum (where applicable), and any other service-specific terms incorporated by reference (collectively, the “Agreement”).

If you are using the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to this Agreement.

If you do not agree to the Agreement, you must not use the Services.

1.3. Business Use Only

The Services are designed for commercial use by businesses and organizations. They are not intended for individual consumer use. By using the Services, you confirm that you are acting in a business capacity.

1.4. Updates to These Terms

We may update or modify these Terms from time to time. When changes are made, we will post the revised Terms and update the “Last Updated” date. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Services.

1.5. Governing Documents

Your use of certain modules (including Segmentation Intelligence, Programmed Intelligence, Phona AI Voice, Website Builder, CRM, email/SMS tools, and other advanced features) may be subject to additional terms, policies, and guidelines. Those terms form part of this Agreement.

2. Definitions

For purposes of this Agreement, the following terms have the meanings below. These definitions apply across all Zyntro modules and features.

2.1. “Account”

The business account you create to access and use the Services, including any associated administrator or authorized user profiles.

2.2. “Authorized Users”

Individuals who are permitted by you to access the Services under your Account (including employees, contractors, and agents).

You are responsible for all actions taken by Authorized Users.

2.3. “Customer”, “you”, or “your”

The business, organization, or entity accepting this Agreement, including its Authorized Users.

2.4. “Customer Content”

Any content, text, data, images, audio, video, prompts, scripts, designs, brand assets, instructions, or materials that you upload, submit, or provide to the Services.

This includes content created using the Website Builder, CRM, Funnels, Forms, and all other modules.

2.5. “Customer Data”

All information and data submitted, stored, or ingested into the Services by you or on your behalf, including:

  • CRM records
  • Contact lists
  • Form submissions
  • Website content
  • Call logs and transcripts
  • Integration data pulled from third-party services

Customer Data excludes Usage Data and Derived Data (defined below).

2.6. “Output”

Any text, audio, image, workflow, segmentation, or other content generated by Zyntro’s AI models based on Customer Content, Customer Data, or user instructions.

You are responsible for reviewing Output before using or distributing it.

2.7. “Usage Data”

Data about your use of the Services, including logs, metadata, performance metrics, device information, feature usage, timestamp information, and analytics.

Usage Data does not include Customer Data.

2.8. “Derived Data”

Data or insights generated by the Services through processing Customer Data or usage patterns, in anonymized or aggregated form, such as:

  • performance statistics
  • system optimization metrics
  • model improvement signals
  • segmentation patterns
  • Derived Data is owned by Zyntro.

2.9. “Modules”

Specific product areas or feature categories within the Zyntro platform, including but not limited to:

  • Segmentation Intelligence (SI)
  • Programmed Intelligence (PI)
  • Phona AI Voice & Call Handling
  • CRM
  • Website Builder (Webby)
  • Forms & Funnels
  • Email & SMS Tools
  • Calendar & Scheduling
  • Content Engine
  • Pipelines & Automation Tools
  • Zyntro may add, modify, or discontinue Modules at its discretion.

2.10. “Automations” or “Workflows”

Any actions, triggers, segment rules, scheduled routines, campaigns, tasks, or system-executed processes configured by you within the Services, including those created or influenced by AI features.

Customer is responsible for all Automations fired under its Account.

2.11. “Third-Party Services”

Any external platform, product, service, integration, or API used in connection with the Services, including email providers, SMS gateways, calendar systems, CRMs, PSTN/SIP carriers, cloud AI models, and data enrichment tools.

2.12. “Beta Features”

Features or Modules identified as experimental, preview, early access, or beta.

Beta Features may be incomplete, unstable, or change without notice.

2.13. “Agreement”

Collectively, these Terms of Use, the Privacy Policy, the Data Processing Addendum (where applicable), and any module-specific or feature-specific terms referenced or incorporated by Zyntro.

3. Scope of Services

3.1. Overview

Zyntro is an AI-powered business platform that provides tools for content creation, automation, customer engagement, segmentation, workflow execution, communication, website building, CRM management, analytics, and other related business functions (collectively, the “Services”). The Services are modular, and you may activate or use one or more Modules depending on your subscription plan.

3.2. Service Nature

The Services combine algorithmic processing, artificial intelligence, machine learning, deterministic logic, and user-configured rules to help automate and streamline business processes. While the Services can generate content, recommend actions, classify contacts, organize data, or execute workflows, all decisions, outputs, and automations require your review, oversight, and approval.

3.3. No Professional Services or Advisory Role

Zyntro combines algorithmic processing, artificial intelligence, machine learning, deterministic logic, and user-configured rules to help automate and streamline business processes. Some features—such as Segmentation Intelligence and Programmed Intelligence—may operate autonomously within the boundaries of your configuration, data, thresholds, and brand parameters.

While certain Modules may not require manual approval for every action or classification, you control the guardrails within which they operate, including quality thresholds, data inputs, triggers, messaging, campaign logic, and workflow permissions.

Zyntro does not independently validate whether your settings, thresholds, or inputs are correct.

3.4. Customer Control & Responsibility

You are solely responsible for:

  • Configuring your workflows, automation settings, and segmentation criteria
  • Defining quality thresholds and operational rules for Segmentation Intelligence and other autonomous Modules
  • Ensuring that the logic, thresholds, and triggers you enable are correct, lawful, and suitable for your business
  • Reviewing and approving content, campaigns, messages, creative assets, and outputs where applicable
  • Monitoring system actions performed under your Account, including autonomous actions that you have enabled
  • Ensuring the accuracy, legality, and suitability of Customer Data
  • Ensuring that your use of the Services complies with applicable laws and regulations

Certain Modules—including but not limited to Segmentation Intelligence and Programmed Intelligence—may execute actions without manual approval. By enabling these Modules or setting quality thresholds, you authorize Zyntro to act according to those rules and accept full responsibility for the outcomes of such actions.

Zyntro does not monitor, validate, or independently review your automations, segmentation logic, workflows, or thresholds.

3.5. Third-Party Dependencies

Certain features rely on integrations or third-party providers, including SMS and email gateways, PSTN/SIP carriers, cloud AI models, analytics tools, calendar systems, and CRM systems. These services may have their own terms, policies, limitations, and uptime constraints.

Zyntro is not responsible for:

  • Outages, delays, or disruptions caused by third-party services
  • Changes to their APIs, pricing, or functionality
  • Data loss arising from third-party failures
  • Misclassification or mis-segmentation caused by third-party AI model behavior

Your use of such third-party services is subject to their respective terms.

3.6. Evolving Services

Zyntro may introduce new Modules, retire older features, or update the platform as part of continuous improvement. We reserve the right to modify, suspend, or discontinue any feature or Module at any time, with or without notice.

When we introduce new features:

  • Some may be in Beta,
  • Some may be released gradually,
  • Some may have additional service terms that apply.

3.7. No Guarantee of Outcomes

Business outcomes depend on many factors outside our control, including the accuracy of Customer Data, your targeting decisions, strategy, market conditions, team behavior, and how you configure the Services.

Zyntro makes no guarantee regarding:

  • Lead volume or quality
  • Revenue increases
  • Campaign success
  • Audience growth
  • Engagement
  • Conversion rates
  • Accuracy of segmentation or predictions
  • Delivery of email/SMS/calls

All outputs and actions must be evaluated by you based on your business needs.

4. AI-Generated Output & Automation Disclaimer

4.1. Nature of AI and Automation

The Services use artificial intelligence, machine learning, probabilistic models, pattern recognition, and user-defined rules to generate content, classify data, score leads, build segments, identify signals, and execute automations or workflows.

AI systems can behave unexpectedly, may produce incorrect or incomplete output, and may make inferences that do not match your intended business logic.

You acknowledge and agree that AI-generated results may be inaccurate, non-unique, unpredictable, or require manual or contextual review.

4.2. Autonomous Modules

Certain Modules, including Segmentation Intelligence (SI) and Programmed Intelligence (PI), may operate autonomously based on:

  • Your configuration
  • Your brand context
  • Your audience definitions
  • Quality thresholds set by you
  • Your CRM data
  • Rules, triggers, and conditions defined by you
  • Patterns inferred from your data

By enabling these Modules, you authorize Zyntro to act within those parameters without requiring per-action approval.

4.3. Your Responsibility for Output and Actions

You are solely responsible for:

  • Reviewing and validating all Output before using, publishing, or relying on it
  • Ensuring that content, messages, scripts, or recommendations generated by the system are correct and appropriate
  • Approving workflows or automations that may affect your customers or business processes
  • Ensuring that your use of AI-generated content or actions complies with all laws and regulations
  • The consequences of Segment or Workflow logic created by or influenced by AI
  • Ensuring that your quality thresholds, audience definitions, and workflow rules are correct and suitable

Zyntro does not review, moderate, approve, or verify any Output, segmentation, targeting decisions, or system actions taken under your Account.

4.4. No Accuracy or Performance Guarantees

Zyntro makes no warranty and provides no guarantee that Output, segmentation, or automation will be:

  • Accurate
  • Complete
  • Free from errors
  • Suitable for any purpose
  • Compliant with regulatory requirements
  • Aligned with your intended strategy
  • Free from false positives or false negatives
  • Executed without interruption

All Output and automated actions are provided “as-is”, and you rely on them at your own risk.

4.5. No Responsibility for Business Outcomes

Zyntro is not responsible or liable for any outcome arising from:

  • Mis-segmentation
  • Misclassification
  • Missed or incorrectly detected signals
  • Automation triggers that fire or fail to fire
  • Incorrect routing, tagging, scoring, or prioritization
  • Workflow timing issues
  • Campaign errors or mis-targeting
  • Email, SMS, phone, or other communications sent to unintended recipients
  • Any reputational, financial, or operational impact

This includes (without limitation):

  • Lost revenue
  • Lost leads or customers
  • Loss of goodwill or reputation
  • Incorrect decision-making
  • Publishment of wrong or incomplete content
  • Productivity loss
  • Regulatory fines due to misuse

All such risks remain your responsibility.

4.6. No Agency Relationship

AI-generated actions do not create:

  • A partnership
  • An agency relationship
  • A fiduciary duty
  • A professional advisory obligation

You retain full control and responsibility for deciding how and whether to use, publish, or rely on any Output or automation generated by the Services.

4.7. Human Review Requirement

You must ensure appropriate human oversight of:

  • AI outputs
  • Segmentation decisions
  • Automations
  • Workflows
  • Emails / SMS / calls
  • Customer-facing content
  • Any triggered actions

Zyntro bears no responsibility for errors resulting from lack of review or from trusting automated outputs without verification.

5. Customer Responsibilities

5.1. Accuracy of Customer Data

You are solely responsible for the accuracy, quality, legality, and completeness of all Customer Data and Customer Content submitted, imported, or generated under your Account.

Zyntro does not verify or validate Customer Data, and all processing of Customer Data is performed based on what you provide or enable.

5.2. Configuration of Automations, Segments, and Workflows

You are fully responsible for configuring, managing, testing, and reviewing all:

  • Segmentation rules
  • Quality thresholds
  • Lead scoring criteria
  • Workflows and triggers
  • Automation sequences
  • Contact journeys
  • Audience definitions
  • Signal detection rules
  • CRM actions
  • Pipeline rules
  • Schedules, tasks, or conditions

Any action executed under your Account—whether manual, AI-assisted, or fully automated—occurs with your authorization.

Zyntro is not responsible for unintended, incorrect, or undesirable outcomes caused by your configuration or lack of oversight.

5.3. Review and Approval of Outputs

You must review all:

  • AI-generated content
  • Campaigns and email/SMS messages
  • Scripts
  • Website content
  • Forms and funnels
  • Call scripts or responses
  • Marketing assets
  • Recommendations or classifications
  • Automated decisions

before publishing, sending, or relying on them.

Zyntro does not guarantee the accuracy or appropriateness of any Output.

5.4. Compliance With Laws and Regulations

You are responsible for ensuring that:

  • Your use of the Services
  • Your Customer Data
  • Your content
  • Your campaigns
  • Your calls
  • Your emails/SMS
  • Your forms and lead capture
  • Your segmentation and audience selection
  • Your website or funnel content
  • Your AI-generated outputs
  • Your workflows and automations

comply with all applicable laws, including (where relevant):

  • TCPA (calls/text messaging)
  • CAN-SPAM Act (email)
  • GDPR / UK GDPR (data protection)
  • CCPA/CPRA (California privacy)
  • PDPA (various countries)
  • CASL (Canada anti-spam)
  • Call recording laws
  • Marketing consent requirements
  • Do-Not-Call regulations
  • Consumer protection laws
  • Industry-specific compliance obligations

Zyntro does not provide legal advice and does not monitor your compliance with these obligations.

5.5. Responsibility for End Users and Contacts

You acknowledge that:

  • You alone are responsible for communications sent to your contacts
  • You alone manage consent, opt-ins, and opt-outs
  • You must maintain lawful grounds for processing personal data
  • You must handle complaints, unsubscribes, and regulatory requests
  • You must ensure that your contact importation is lawful and properly consented

Zyntro does not acquire rights in, or take responsibility for, your relationship with your contacts, leads, clients, or users.

5.6. Security of Your Account

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • Restricting access to Authorized Users only
  • Ensuring proper role-based access within your organization
  • Protecting integration keys and API keys connected through Zyntro

You are liable for all actions taken through your Account, whether authorized or unauthorized.

5.7. Use of Third-Party Services

You are responsible for maintaining your own accounts with required third-party services (e.g., email/SMS gateways, Twilio/PSTN providers, calendars, CRMs, payment processors).

You must ensure:

  • You comply with their usage rules
  • Your connection credentials remain valid
  • You configure their systems appropriately
  • You pay applicable third-party fees

Zyntro is not liable for issues arising from these integrations.

5.8. Monitoring and Oversight

You must maintain ongoing oversight of:

  • Campaigns
  • Automations
  • Segmentation behaviour
  • Lead scoring outputs
  • Contact journeys
  • Workflow triggers
  • System-generated tasks or executions

AND take corrective action when needed.

Failure to monitor does not shift responsibility to Zyntro.

5.9. Prohibited Behaviour

You agree not to:

  • Circumvent usage limits
  • Share login credentials externally
  • Use the Services to harass, defraud, deceive, or engage in unlawful activity
  • Store or process unlawful content
  • Manipulate models to generate prohibited or harmful output
  • Use the Services to attempt malicious acts
  • Abuse APIs, scripts, or automation capabilities

Any breach may lead to suspension or termination.

5.10. Liability for Your Decisions

You acknowledge and agree that:

  • All business decisions made based on Output or automation are your decisions
  • Zyntro does not and cannot control your operational choices
  • You alone bear the risk of using AI in your workflows
  • Zyntro disclaims responsibility for any loss resulting from your use of the Services

This includes business, operational, financial, regulatory, and reputational impacts.

.11. Compliance With Telemarketing, SMS, Robocall, and Communication Laws

You are solely responsible for ensuring that your use of the Services—including any use of AI-powered calling (such as Phona), automated dialing, SMS or text messaging, ringless voicemail, email, or other outreach—fully complies with all applicable state, federal, and international laws and regulations, including but not limited to:

  • The U.S. Telephone Consumer Protection Act (TCPA)
  • The U.S. Telemarketing Sales Rule (TSR)
  • FCC and FTC rules governing automated calls and messages
  • State-level “mini-TCPA” laws
  • Do-Not-Call, opt-in, and opt-out regulations
  • Carrier guidelines and A2P 10DLC requirements
  • GDPR/UK GDPR (where applicable)
  • CASL (Canada)
  • PDPA and local privacy laws in relevant jurisdictions
  • Any other regional or national laws governing outbound communications

This includes responsibility for:

  • Obtaining valid and documented consent before contacting any individual or business
  • Maintaining proof of consent
  • Managing opt-outs and unsubscribe requests
  • Handling complaints or regulatory inquiries
  • Ensuring that scripts, messages, prompts, and call flows comply with applicable rules
  • Determining whether automated outreach to consumers or businesses is legally permitted in your jurisdiction

Zyntro does not determine, validate, or enforce whether your use of the Services complies with these laws.

5.12. No Compliance Monitoring or Legal Oversight by Zyntro

Zyntro is not responsible for:

  • Monitoring your communication practices
  • Reviewing your scripts, SMS messages, or call flows for compliance
  • Determining whether your AI-generated or automated actions require consent
  • Ensuring that your forms, landing pages, or websites collect proper disclosures
  • Tracking regulatory changes that may affect your obligations
  • Detecting unlawful or non-compliant outreach
  • Acting as your legal or regulatory advisor

Zyntro does not act as a legal watchdog, compliance officer, or regulatory gatekeeper.

5.13. Optional Audits Do Not Create Liability

Zyntro may, at its discretion, review or audit your forms, landing pages, website pages, funnels, disclaimers, or communication practices for general adherence to best practices.

However:

  • Any such audit is informational only
  • It does not constitute legal advice
  • It does not create any obligation for Zyntro to monitor ongoing compliance
  • It does not shift responsibility away from the customer
  • It does not create a warranty or guarantee of compliance
  • Zyntro assumes no liability for compliance failures before, during, or after such review

The customer remains solely responsible for ensuring that all communications and related practices comply with applicable laws.

6. Account Registration & Eligibility

6.1. Business Use Only

The Services are intended for use by businesses, organizations, and professional entities. By creating an Account or using the Services, you represent and warrant that you are doing so in a business capacity and not as an individual consumer.

6.2. Minimum Age Requirement

The Services are not intended for use by individuals under 18 years of age.

By creating an Account, you represent that you are at least 18 and have the legal capacity to enter into this Agreement.

6.3. Account Creation

To use the Services, you must create an Account and provide accurate, current, and complete information. You agree to promptly update your Account information if it changes.

Zyntro may reject, suspend, or terminate Accounts that contain incomplete, misleading, offensive, or impersonated information.

6.4. Authority to Bind an Entity

If you create an Account on behalf of a company, agency, or other organization, you represent and warrant that:

  • You have full legal authority to bind that entity to this Agreement
  • All Authorized Users under your Account operate under such entity
  • The entity accepts full responsibility for all use of the Services
  • The entity is responsible for the actions and behavior of its Authorized Users

6.5. Responsibility for Access Credentials

You are responsible for safeguarding your Account credentials, API keys, authentication tokens, and any other access methods. You agree to:

  • Maintain strict confidentiality of all credentials
  • Ensure credentials are shared only with authorized personnel
  • Immediately notify Zyntro of any suspected unauthorized access
  • Rotate keys and credentials as needed

Zyntro is not liable for any loss or damage resulting from unauthorized access caused by your failure to protect your credentials.

6.6. Authorized Users

You are responsible for:

  • Determining which individuals within your organization may access the Services
  • Ensuring Authorized Users comply with this Agreement
  • Revoking access when individuals leave your organization or no longer require access
  • Any actions taken by Authorized Users within your Account

Misuse by any Authorized User constitutes misuse by the Customer.

6.7. Prohibited Account Activity

You agree not to:

  • Share your Account with individuals outside your business or organization
  • Resell or sublicense access to the Services
  • Create or use fake, duplicate, or fraudulent Accounts
  • Register Accounts for competitive intelligence purposes
  • Circumvent subscription limits by creating multiple Accounts
  • Access the Services using credentials or tokens that you did not obtain directly from Zyntro

Zyntro may suspend or terminate Accounts involved in prohibited activity.

6.8. Account Suspension or Termination

Zyntro may suspend or terminate your Account immediately, with or without notice, if:

  • You violate any part of this Agreement
  • Your use of the Services poses a security risk
  • You misuse the platform, integrations, or APIs
  • You engage in fraud, abuse, or unlawful behavior
  • Required payments are not made
  • You interfere with the proper functioning of the Services

Termination does not relieve you of any fees owed.

6.9. Data Access After Termination

Upon termination:

  • Access to the Services may cease immediately
  • Zyntro may retain Customer Data for a limited period (e.g., 30 days) for export upon request
  • Zyntro has no obligation to maintain Customer Data beyond the retention window
  • Zyntro is not liable for loss of data following termination or expiration of the retention period

A formal retention period will be defined in the Data Processing section.

7. Payment Terms

7.1. Fees for the Services

Zyntro offers a combination of:

  • One-time onboarding fees
  • Recurring subscription fees
  • Usage-based charges
  • Communication charges (calls, SMS, carrier fees)
  • Wallet-based consumption fees
  • Enterprise and professional services fees (invoiced separately)

Your access to certain Modules or features may require payment of one or more of these fee types.

All fees are non-refundable, unless otherwise required by applicable law.

7.2. Subscription Plans

Subscription plans are billed on a recurring monthly basis (or annually, if available and selected).

Your subscription will renew automatically at the end of each billing cycle unless cancelled prior to renewal.

Subscription fees grant access to platform features but do not include usage-based or communication-based fees, which are billed separately.

7.3. Usage-Based Fees

Certain features incur usage charges, including but not limited to:

  • Image generation
  • Segmentation Intelligence email generation
  • AI content generation
  • Workflow-heavy or compute-heavy activities
  • Additional storage or API calls
  • Form submissions in excess of plan limits

These charges are deducted from your Zyntro Wallet (see Section 7.7).

Usage fees are incurred at the moment the service is executed, regardless of the outcome or your subjective satisfaction with the output.

Because Zyntro is charged by upstream providers (e.g., cloud models, image engines, carriers), usage fees cannot be reversed or refunded.

7.4. Communication Fees (Calls, SMS, Voice AI)

Communication-related services—including AI phone calls, SMS, voice synthesis, and carrier-related delivery—are billed per unit or per minute, depending on the region and communication type.

Communication fees include:

  • Platform call fees (e.g., $0.35/min for Phona AI platform usage)
  • Carrier call charges, billed at country-specific rates
  • SMS charges, billed per message or per segment
  • Additional telecommunication fees required by carriers or regulatory bodies

These charges are deducted from your Zyntro Wallet and may fluctuate based on carrier pricing.

7.5. Onboarding Fees

Zyntro may charge a fixed, one-time onboarding fee, which covers setup, environment configuration, implementation, or initial technical work.

Onboarding fees are non-refundable and may be invoiced separately.

7.6. Enterprise, Customization & Professional Services Fees

Enterprise clients may require:

  • Custom workflow development
  • Corporate policy enforcement
  • Data contextualization and ingestion
  • Model fine-tuning or brand-specific AI behavior
  • Larger infrastructure allocation
  • Additional SLAs or uptime guarantees
  • Security reviews or compliance certifications

These services are billed via separate invoices and payable via bank transfer, ACH, wire, or other methods elected by Zyntro.

Payment terms for enterprise invoices (e.g., Net-15, Net-30) are specified on the invoice and must be honored to avoid service disruption.

7.7. Zyntro Wallet & Auto Top-Up

A Zyntro Wallet is provided for each Account.

  • Usage-based, call-based, and SMS-based fees are deducted from your Wallet.
  • You may top up your Wallet at any time by credit card or other approved payment methods.
  • You may enable auto-top-up to prevent service interruptions when your Wallet balance is low.
  • Zyntro may credit up to 10% of your monthly subscription fee into your Wallet as a bonus, at our discretion.

Wallet balances do not expire, but remain non-refundable.

7.8. Payment Methods

Zyntro supports:

  • Credit and debit cards (processed via Stripe or PayPal)
  • Bank transfers, ACH, wire transfers, or telegraphic transfers (as elected by Zyntro)
  • Additional payment methods that may be introduced in the future

Zyntro does not store any credit card information on its servers.

All financial information is handled by secure third-party payment processors.

7.9. Currency; Non-USD Pricing

All pricing is in United States Dollars (USD).

If pricing is displayed in another currency, it is for convenience only.

All charges, billing, and settlements occur in USD, regardless of customer location.

7.10. Fee Changes

Zyntro may update or revise pricing for subscriptions, usage fees, communication rates, or enterprise services.

We will provide reasonable notice before subscription price increases.

Usage-based and communication-based fees may change without prior notice due to fluctuations in upstream carrier or vendor costs.

Your continued use of the Services after fee changes constitutes acceptance.

7.11. Taxes

Fees are exclusive of taxes unless stated otherwise.

You are responsible for:

  • Sales tax
  • VAT
  • GST
  • Withholding tax
  • Any other tax obligations in your jurisdiction

Zyntro may add applicable taxes to invoices where required by law.

7.12. Failed Payments & Suspension

If any payment is declined, reversed, or overdue:

  • Zyntro may suspend access to some or all Services
  • Wallet-based features may stop functioning immediately
  • Automations, workflows, calls, and SMS may be halted
  • Outstanding balances must be cleared before reactivation

Zyntro is not responsible for any business loss caused by suspension due to non-payment.

7.13. No Refunds

All fees—including onboarding fees, subscription fees, usage-based fees, wallet top-ups, and communication costs—are non-refundable.

This includes scenarios where:

  • Output is unsatisfactory
  • An image or content generation is undesirable
  • A call fails due to carrier issues
  • A message is blocked by carriers
  • Automations or workflows behave differently than expected

Zyntro incurs upstream charges regardless of outcome; therefore, credits cannot be reversed.

7.14. Billing Disputes

If you believe a charge is incorrect, you must notify Zyntro within 10 days of the charge date.

After that window, the charge is deemed accepted and final.

Zyntro will investigate good-faith disputes but has no obligation to reverse charges that are accurate or stem from your usage.

8. Fair Use & Acceptable Use Policy

Zyntro’s Acceptable Use Policy (“AUP”) applies to all users and governs how the Services may be accessed and used. Violations may result in throttling, suspension, termination, or legal action.

8.1. Acceptable Use Rules

You agree not to use the Services to:

(a) Break the Law

Use the Services in any way that violates any applicable local, state, federal, or international law, regulation, or industry standard, including but not limited to:

  • Consumer protection laws
  • Privacy laws
  • Marketing and telecommunication regulations
  • Intellectual property laws
  • Export control rules
  • Data protection laws

(b) Harm or Exploit Individuals

Use the Services to:

  • Harass, defame, threaten, or intimidate others
  • Exploit minors or create any content involving minors in harmful contexts
  • Generate discriminatory, hateful, violent, or extremist content targeting any protected group
  • Promote self-harm or encourage dangerous behavior

(c) Generate Misleading, Harmful, or Deceptive Content

Use the Services to:

  • Spread disinformation
  • Create impersonations of individuals or entities
  • Engage in phishing, fraud, or deceptive business practices
  • Manipulate or mislead customers, consumers, or end users

(d) Engage in Unlawful Telemarketing, Robocalling, SMS, or AI Calling

Use the Services to:

  • Send SMS, email, or make phone calls without documented, valid consent
  • Circumvent Do-Not-Call regulations
  • Use AI voice modules in jurisdictions where automation is restricted without meeting legal requirements
  • Violate TCPA, TSR, CAN-SPAM, GDPR, CASL, PDPA, or any regional telecom or marketing regulation
  • Use Zyntro’s tools to intentionally evade carrier filtering or regulatory compliance

(See also §5.11–5.13 for customer obligations.)

(e) Create or Distribute Harmful Software

Use the Services to:

  • Upload or distribute malware, viruses, trojans, worms, spyware, or harmful code
  • Attempt to compromise, intrude, or penetrate Zyntro systems or third-party systems
  • Conduct penetration testing without written authorization

(f) Abuse or Manipulate AI Models

Use the Services to:

  • Generate unreasonably large workloads intended to stress or degrade the platform
  • Circumvent content filters
  • Use model outputs to build competing AI products using Zyntro’s proprietary interfaces
  • Generate disallowed or harmful content intentionally

(g) Perform Competitive or Extractive Activities

Use the Services to:

  • Reverse-engineer, decompile, or otherwise access source code
  • Scrape data, metadata, or internal configuration not intended for export
  • Benchmark Zyntro for competitive intelligence
  • Build or train competing AI tools using Zyntro’s data or environment

(h) Interfere With Proper Functioning of the Platform

Use the Services to:

  • Bypass rate limits
  • Attempt to overload the system
  • Exploit bugs or unintended behavior
  • Use automation, scripts, bots, or crawlers without explicit permission
  • Interact with internal APIs or endpoints not intended for public use

(i) Share Access or Credentials Improperly

You must not:

  • Share account access with unauthorized individuals
  • Resell, sublicense, or lease Zyntro access
  • Use the Services for multiple unrelated businesses under one subscription
  • Allow third parties outside your organization to access your Account

(j) Use for Prohibited Business Models

Zyntro cannot be used to facilitate:

  • Illicit pharmaceuticals
  • Payday lending schemes
  • Multi-level marketing or pyramid schemes
  • Gambling operations
  • Weapons trafficking
  • Extremist or hate-based operations

Unless such operations are explicitly legal and authorized in the user’s jurisdiction AND approved in writing by Zyntro.

8.2. Fair Use Policy (FUP)

To ensure stability and high-quality service for all customers, Zyntro maintains a Fair Use Policy governing resource consumption.

(a) Reasonable Use

You agree to use the Services in a manner consistent with the normal, reasonable operation expected from a single business account as defined by:

  • Your subscription plan limits
  • Your Zyntro Wallet balance
  • Platform-wide system capacity
  • Historical usage patterns

(b) Excessive or Abusive Usage

Zyntro may throttle, restrict, or suspend your access if your usage:

  • Is excessively higher than typical users
  • Strains system resources
  • Appears automated beyond intended design
  • Abuses call or SMS infrastructure
  • Violates upstream rate limits (e.g., OpenAI, ElevenLabs, Twilio)

We will make reasonable efforts to notify you, but immediate action may occur if usage impacts system stability.

(c) No Refunds for Fair Use Restrictions

If your access is throttled, paused, or restricted under the FUP, you are not entitled to refunds, credits, or compensation.

(d) Plan Upgrades for Excessive Use

Zyntro may require plan upgrades if:

  • You regularly exceed thresholds
  • Your workflows involve heavy or unusual automations
  • You use high-volume communication or compute resources

Failure to upgrade may result in throttling or suspension.

(e) Dynamic Adjustment of Limits

Zyntro may adjust fair use thresholds at any time to maintain platform performance.

Where possible, prior notice will be provided.

9. Third-Party Services & Integrations

9.1. Use of Zyntro’s Third-Party Providers

Zyntro relies on third-party platforms, vendors, and infrastructure (“Third-Party Services”) to deliver core functionality.

These include, but are not limited to:

  • AI model providers (OpenAI, Anthropic, Google, ElevenLabs)
  • Email infrastructure (Postmark, SendGrid)
  • SMS and telephony carriers (Twilio, Telnyx)
  • Calendar providers (Google, Microsoft)
  • Authentication and identity platforms
  • Cloud hosting services
  • Payment processors (Stripe, PayPal)

All outbound interactions (AI calls, email, SMS, outbound voice, image generation, content generation, etc.) occur through Zyntro’s own service accounts, not customer-provided ones.

Customers may not plug in, substitute, or override these providers with their own accounts unless explicitly permitted per §9.9.

9.2. No BYO (“Bring Your Own”) Keys or Accounts

Unless expressly enabled by Zyntro for a specific integration:

  • Customers may not provide their own API keys or service credentials
  • Customers may not connect or substitute their own telephony, SMS, email, AI, image-generation, or video-generation providers
  • Customers may not interact directly with Zyntro’s underlying vendor accounts
  • Customers may not alter or bypass the vendor stack used by Zyntro

Zyntro fully manages vendor selection, provisioning, authentication, rate limits, and compliance.

9.3. Future Optional BYO Integrations

Zyntro may, at its discretion, introduce optional “Bring Your Own Key” integrations for specific tools or use cases (e.g., HeyGen, Higgsfield, or other media-generation platforms).

Such features:

  • Will be governed by separate, module-specific terms
  • May have additional security, compliance, and rate-limit requirements
  • May require the customer to accept the third-party provider’s terms directly
  • Are not currently available unless explicitly stated in product documentation

No part of this Agreement grants customers advance rights to BYO integrations.

9.4. No Liability for Third-Party Services

Zyntro is not liable for:

  • Outages or downtime caused by any Third-Party Service
  • Delivery failures (email, SMS, calls)
  • Rate limits or API throttling
  • Model changes or degraded performance
  • Errors produced by AI models
  • Communication blocked by carriers
  • Enforcement actions arising from your usage
  • Changes in pricing, APIs, or terms by Third-Party Services

Zyntro provides no warranty, express or implied, regarding the performance or availability of any Third-Party Service.

9.5. Customer Obligation to Follow Third-Party Rules

Even though Zyntro manages all vendor accounts, your usage must comply with the policies and rules of those Third-Party Services, including:

  • OpenAI and other AI model safety guidelines
  • ElevenLabs voice safety restrictions
  • Postmark’s anti-spam and sender reputation rules
  • Twilio carrier rules & A2P registration requirements
  • Google/Microsoft API usage terms

If your behavior causes, or risks causing:

  • Rate limiting
  • Blocklisting
  • Abuse warnings
  • Suspension
  • Loss of vendor privileges
  • Extra compliance review by a provider

Zyntro may immediately restrict or suspend your access to affected features.

9.6. No Guarantee of Availability or Delivery

Zyntro cannot guarantee:

  • Delivery of emails, SMS messages, or calls
  • Successful completion of AI tasks
  • Uptime of model providers
  • Carrier routing accuracy
  • Calendar sync reliability
  • Rendering or output performance

These are dependent on Third-Party Services outside Zyntro’s control.

9.7. Data Shared With Third Parties

To operate specific features, Zyntro may transmit Customer Data or Output to Third-Party Services such as:

  • Postmark (emails)
  • Twilio (SMS, calls, workflows, A2P)
  • AI model providers (content generation, image generation, embeddings)
  • Calendar systems (availability, event creation)

By using the Services, you authorize such data transfers.

All such transfers are subject to each provider’s privacy policy.

9.8. Entire Risk Remains With the Customer

You assume all risk associated with the use of features powered by Third-Party Services, including:

  • Delays
  • Errors
  • Delivery failures
  • Model behavior
  • Misclassification
  • Regulatory consequences
  • Compliance failures
  • Business loss or reputational impact

Zyntro is not responsible for any loss arising from third-party behavior.

9.9. Zyntro’s Right to Add or Remove Integrations

Zyntro may add, replace, or discontinue any Third-Party Service at any time.

This includes removing support for certain vendors if:

  • They deprecate APIs
  • Their pricing becomes unreasonable
  • They impose unacceptable risks
  • They violate privacy/security obligations
  • They degrade performance or reliability
  • They require compliance Zyntro cannot feasibly provide

We will make reasonable efforts to notify customers of changes that materially impact functionality.

10. Voice, Calls, Phona & Call Recording

10.1. Overview of Voice & Call Features

Zyntro provides tools for initiating, receiving, and managing phone calls using AI-generated voices (“Phona”), along with call routing, voicemail, call transcription, and workflow automation features (“Voice Services”).

By enabling Voice Services, you authorize Zyntro to place or receive phone calls on your behalf through PSTN, SIP, VoIP, and carrier networks.

10.2. AI Voice Behavior & Limitations

Phona uses artificial intelligence to generate speech and respond dynamically during calls.

Due to the nature of AI systems:

  • AI-generated responses may be inaccurate, incomplete, unpredictable, or out of context
  • Phona may misinterpret questions or give unintended answers
  • Phona may generate statements that differ from your instructions or brand tone
  • AI behavior may vary due to model changes, updates, or carrier constraints

Zyntro does not guarantee the accuracy, completeness, legality, or appropriateness of any statement made by Phona during a call.

You use AI voice features at your own risk.

10.3. Customer Responsibility for Call Scripts & Logic

You are solely responsible for:

  • Creating, reviewing, and approving scripts, prompts, workflows, and call logic
  • Ensuring scripts are correct, lawful, and suitable for your audience
  • Ensuring Phona’s responses are acceptable for your business context
  • Testing your call flows before activating them
  • Monitoring call performance and making corrections as needed

Zyntro does not validate, monitor, or approve your call configurations.

10.4. Consent to AI-Generated Calling

You must ensure that all individuals contacted by Phona:

  • Have provided valid consent to receive calls
  • Are legally permitted to be contacted by AI or automated systems
  • Have not opted out or requested removal
  • Receive any required disclosures for AI-generated communication

You acknowledge that many jurisdictions require clear disclosure that the caller is an AI system, and you agree to include such disclosures in your scripts where required.

10.5. Compliance With Telemarketing & Communication Laws

You are solely responsible for complying with all federal, state, and local laws governing automated calling, including but not limited to:

  • Telephone Consumer Protection Act (TCPA)
  • Telemarketing Sales Rule (TSR)
  • FCC regulations
  • State mini-TCPA laws
  • Do-Not-Call rules
  • Industry-specific telemarketing regulations
  • Opt-in/opt-out management
  • Required disclosures for AI or prerecorded calls
  • International calling laws, where applicable

Zyntro does not provide legal advice and is not responsible for ensuring your use of Voice Services is compliant.

Zyntro does not act as a compliance monitor, legal watchdog, or regulatory advisor.

10.6. Call Recording & Transcription

Zyntro may record and/or transcribe calls depending on your settings.

You are solely responsible for:

  • Obtaining legally required one-party or two-party consent
  • Providing any legally required disclosures
  • Ensuring all participants are aware that the call may be AI-generated and/or recorded

Zyntro is not responsible for verifying or enforcing call recording consent requirements in your jurisdiction.

10.7. Carrier Rules, Filtering & Deliverability

Voice Services depend on third-party carriers. Carriers may:

  • Block calls
  • Flag calls as spam
  • Filter or restrict certain call types
  • Limit AI or automated calling
  • Require A2P registrations or callbacks
  • Enforce caller ID verification rules

Zyntro is not responsible for:

  • Carrier blocking or filtering
  • Labeling calls as spam
  • Call failures due to carrier policies
  • Delays, outages, or routing issues
  • Regulatory enforcement by carriers or authorities

10.8. No Liability for AI Voice or Call-Related Outcomes

Zyntro is not liable for:

  • Statements made by Phona
  • Miscommunication or misunderstandings
  • Incorrect or unexpected AI responses
  • Lost business, lost revenue, or reputational harm
  • Legal, regulatory, or compliance violations
  • Calls sent to the wrong person or place
  • Call failures, call drops, or audio distortions
  • Spam labeling, call blocking, or carrier intervention
  • Any harm or damage caused by your use of Voice Services

Your decision to rely on Phona-generated or automated calls is entirely at your own risk.

10.9. Customer Indemnification for Voice & Call Use

You agree to indemnify, defend, and hold harmless Zyntro from any claims, penalties, fines, damages, investigations, or legal actions arising out of:

  • Your call scripts or AI instructions
  • Your calling or communication practices
  • Your failure to obtain proper consent
  • Non-compliance with communication laws
  • Complaints or disputes from individuals you contact
  • Carrier enforcement actions
  • Regulatory investigations or penalties

This indemnification survives termination of your Account.

10.10. Immediate Suspension for Compliance Risk

Zyntro may immediately suspend Voice Services without notice if:

  • Your call patterns trigger carrier warnings
  • Your calls generate excessive complaints
  • You violate (or appear likely to violate) telemarketing rules
  • Your usage endangers Zyntro’s carrier relationships
  • Your campaigns appear harmful, fraudulent, or deceptive

Suspension may be temporary or permanent at Zyntro’s discretion.

11. Data Ownership & Rights

11.1. Ownership of Customer Data

As between you and Zyntro:

  • You own all Customer Data and Customer Content submitted, uploaded, imported, or generated under your Account.
  • Zyntro does not claim ownership over Customer Data.

You grant Zyntro the rights necessary to operate, maintain, and improve the Services as described below.

11.2. License Granted to Zyntro

By using the Services, you grant Zyntro a worldwide, royalty-free, non-exclusive license to:

  • Host, store, process, and transmit Customer Data
  • Generate Output using AI models based on Customer Data
  • Use Customer Data to execute workflows, automations, segmentation, and communication activities
  • Perform internal operations such as logging, diagnostics, troubleshooting, and quality improvement
  • Analyze Customer Data to generate Derived Data (see §11.5)
  • Display or deliver Customer Content as part of your websites, emails, forms, funnels, scripts, or automations

This license is solely for the purpose of providing the Services, improving functionality, protecting system integrity, and fulfilling our obligations under this Agreement.

Zyntro does not resell Customer Data or make Customer Data available to other customers.

11.3. Ownership of Output

You own the Output generated for your Account, subject to:

  • Ownership terms of third-party model providers
  • Your responsibility to review, verify, and validate Output (see Part 4)
  • Output not guaranteed to be unique (AI models may generate similar text for others)

Output may be subject to the intellectual property limitations of the underlying model provider (e.g., OpenAI). Zyntro provides no warranty regarding IP protectability of Output.

11.4. Zyntro Ownership of the Services

Zyntro owns:

  • The platform
  • All software, interfaces, and architectures
  • All automation and segmentation logic
  • All workflows and system templates
  • All AI integrations
  • All proprietary logic (SI, PI, scoring algorithms, routing systems)
  • All UI/UX elements
  • All internal code, scripts, and infrastructure

Nothing in this Agreement transfers ownership of the Services to you.

11.5. Derived Data

Zyntro may create Derived Data, which includes:

  • Aggregated or anonymized analytics
  • Behavioral insights
  • System-generated performance patterns
  • Usage metrics (contact activity, segmentation behavior, scoring trends, etc.)
  • Quality indicators
  • Statistical models and scoring improvements

Derived Data is owned exclusively by Zyntro and may be used to:

  • Improve the Services
  • Train internal models or enhance segmentation logic
  • Monitor system performance
  • Develop new features
  • Provide analytics and benchmarking (in anonymized form only)

Derived Data does not include any personally identifiable or customer-identifying information in non-aggregated form.

11.6. Usage Data

Zyntro collects Usage Data, including:

  • Feature usage
  • System interactions
  • Performance metrics
  • AI call statistics
  • Project and workflow execution logs
  • Technical telemetry

Usage Data is owned by Zyntro and used to:

  • Optimize system performance
  • Improve model behavior
  • Protect security and prevent abuse
  • Enhance user experience
  • Understand platform reliability

Usage Data never includes Customer Data or customer-specific content except where necessary for diagnostics.

11.7. Model Training & Data Isolation

Zyntro adheres to strict data isolation and privacy policies.

Unless explicitly enabled by you in a feature-specific setting:

  • Zyntro does NOT use Customer Data to train, fine-tune, or improve general AI models.
  • Customer Data is isolated per Account and is not shared with or exposed to other customers.
  • Zyntro may use anonymized, aggregated statistics to improve model behavior, but not identifiable data.

If Zyntro introduces optional fine-tuning or private model training:

  • It will be opt-in
  • It will require explicit authorization
  • It will include additional data protection terms

11.8. Data Retention

Zyntro retains Customer Data for as long as:

  • Your Account remains active, and
  • Retention is required to operate the Services

Upon Account termination:

  • Customer Data may be retained for a limited period (e.g., 30 days) for export requests
  • After the retention period, Zyntro may delete Customer Data from active systems

Zyntro may retain logs or Derived Data, which do not contain personal or identifiable Customer Data.

11.9. Data Deletion Requests

You may request deletion of Customer Data through platform controls or by contacting Zyntro Support.

Zyntro will:

  • Delete Customer Data as required by applicable law
  • Retain records where legally required (e.g., for fraud prevention, billing records, regulatory compliance)

Zyntro cannot delete:

  • Output stored by the user outside the platform
  • Information required for accounting or legal compliance
  • Derived Data or Usage Data (as they are anonymized and non-identifiable)

11.10. Responsibility for Backups

Zyntro provides reasonable backup and disaster recovery measures but does not guarantee:

  • That Customer Data can be recovered after deletion
  • That every version of Customer Data can be restored
  • That data will always be recoverable following incidents, force majeure, or system failure

It is your responsibility to export or back up Customer Data relevant to your operations.

11.11. Data Provided by End-Users

For data collected via:

  • Forms
  • Websites
  • Funnels
  • Chat widgets
  • Calendar booking
  • AI calls
  • Automation-driven intake

You are solely responsible for:

  • Providing appropriate privacy notices
  • Collecting valid consent
  • Handling opt-outs and regulatory requests
  • Responding to data subject rights
  • Ensuring your collection of data is lawful

Zyntro acts as a processor or service provider under applicable law.

12. Privacy & Data Processing

12.1. Privacy Policy Incorporated by Reference

Your use of the Services is also governed by Zyntro’s Privacy Policy, which explains:

  • What data we collect
  • How data is processed and stored
  • What rights users and data subjects have
  • How Zyntro handles cookies, analytics, and tracking
  • How Zyntro complies with applicable privacy laws

The Privacy Policy is incorporated into these Terms by reference.

12.2. Roles of the Parties

Depending on the feature and jurisdiction:

  • You act as the Data Controller (or Business under CCPA)
  • Zyntro acts as a Data Processor (or Service Provider under CCPA)

This applies to data such as:

  • CRM records
  • Contact details
  • Website form submissions
  • Email recipients
  • Calendar bookings
  • AI call participants
  • Segmentation data
  • Automation-triggered workflows
  • Uploaded files and content

Zyntro processes this data solely on your instructions, except where required by law.

12.3. Customer Obligations as Data Controller

As the Data Controller, you are solely responsible for:

  • Providing legally valid privacy notices to data subjects
  • Obtaining all required consents (email, SMS, AI calls, cookies, tracking, etc.)
  • Establishing a lawful basis for processing under GDPR/UK GDPR
  • Responding to data subject rights requests (access, deletion, portability, restriction)
  • Managing opt-outs and unsubscribes
  • Complying with telemarketing, privacy, and communication laws
  • Ensuring the accuracy of personal data submitted to Zyntro
  • Ensuring any personal data you upload or process is lawful

Zyntro provides tools, but you, not Zyntro, determine:

  • What personal data you collect
  • How you use it
  • Who you target
  • What automations you run
  • How long you retain it
  • Whether communications are legal and compliant

Zyntro does not act as your legal advisor.

12.4. Zyntro Obligations as Processor

As a Processor (or Service Provider):

Zyntro will:

  • Process Customer Data only as instructed
  • Implement reasonable administrative, physical, and technical safeguards
  • Restrict access to authorized personnel on a need-to-know basis
  • Require confidentiality commitments from personnel
  • Ensure subprocessors are bound by equivalent data protection obligations
  • Assist with data subject requests where technically feasible
  • Notify you without undue delay of confirmed personal data breaches
  • Delete or return Customer Data following Account termination (per §11.8)

Zyntro does not:

  • Sell Customer Data
  • Monetize Customer Data
  • Share Customer Data with other customers
  • Use Customer Data to train general AI models (unless explicitly opted-in)

12.5. Subprocessors

Zyntro uses selected third-party providers to deliver parts of the Services. These subprocessors may process Customer Data.

Categories include:

  • Cloud hosting and storage
  • Email and SMS providers
  • AI model providers
  • Payment processors
  • Telephony carriers
  • Authentication platforms
  • Data analytics tools

A list of subprocessors may be maintained in the Privacy Policy or DPA.

By using the Services, you authorize Zyntro to use subprocessors as required.

12.6. International Transfers

Customer Data may be transferred or stored:

  • In the United States
  • In countries where subprocessors operate
  • In any region necessary to provide global functionality

When required by law, Zyntro will implement appropriate safeguards for international transfers, which may include:

  • Standard Contractual Clauses (SCCs)
  • Data Protection Addendums (DPAs)
  • Additional technical and contractual protections

You acknowledge that global infrastructure is necessary to provide the Services.

12.7. Security Measures

Zyntro maintains reasonable, industry-standard security practices including:

  • Encryption in transit (HTTPS/TLS)
  • Secure hosting environments
  • Access controls
  • Logging and monitoring
  • Regular vulnerability scanning
  • Firewalls and intrusion detection measures
  • Principle-of-least-privilege access
  • Secure development lifecycle practices

Zyntro cannot guarantee that unauthorized third parties will never breach security measures.

You are responsible for maintaining:

  • Strong passwords
  • Access controls on your end
  • Proper user account management
  • Secure handling of exported data

12.8. Data Breach Notification

If Zyntro becomes aware of a confirmed personal data breach affecting Customer Data, we will:

  • Notify you without undue delay
  • Provide details as required by applicable law
  • Assist you in meeting regulatory obligations (e.g., GDPR Article 33 notifications)

Zyntro is not responsible for:

  • Breaches caused by your systems, networks, or unauthorized users
  • Breaches resulting from your misuse of the Services
  • Breaches caused by third-party integrations you connect outside of Zyntro

12.9. Customer Responsibility for Privacy Compliance

You are solely responsible for:

  • Complying with GDPR, UK GDPR, CCPA, CPRA, PDPA, and any other applicable privacy laws
  • Handling end-user privacy requests
  • Providing privacy notices and cookie consent when embedding Zyntro forms or website elements
  • Maintaining legally valid marketing consent
  • Keeping data retention periods aligned with your own compliance obligations
  • Ensuring content generated by SI/PI (Segmentation Intelligence & Programmed Intelligence) is compliant with your privacy and data collection disclosures

Zyntro does not monitor your compliance.

12.10. Shared Responsibility Model

Security and privacy are a shared responsibility:

  • Zyntro protects the platform infrastructure
  • You protect your Account access and data usage
  • Third-party providers protect their respective systems

You are responsible for:

  • Misconfigurations
  • Unauthorized access via your credentials
  • Incorrect or unlawful data uploads
  • Compliance failures arising from your automations
  • Communications sent by segmentation workflows or Phona

12.11. Cookies, Tracking, and Website Scripts

If you use Zyntro:

  • Website builder
  • Forms
  • Chat widgets
  • Tracking scripts
  • Analytics tools

You must:

  • Provide required cookie notices and disclosures
  • Obtain consent where necessary
  • Comply with GDPR ePrivacy, CCPA tracking rules, and regional cookie laws

Zyntro is not responsible for your cookie compliance obligations.

12.12. No Sensitive Data

You agree not to use the Services to collect, upload, or process the following categories of protected data unless explicitly permitted in writing:

  • Government-issued ID numbers
  • Financial account details
  • Biometric identifiers
  • Health information (HIPAA)
  • Special category data under GDPR (race, religion, sexual orientation, political opinions)
  • Children’s data under 16
  • Criminal history
  • Any regulated or high-risk personal data

Zyntro is not designed for regulated data environments (HIPAA, CJIS, PCI-DSS, etc.).

13. Ownership of the Platform, Intellectual Property & Proprietary Rights

13.1. Ownership of the Services

The Services—including the platform, modules, software, UI/UX, workflows, schemas, templates, data structures, automations, segmentation logic, programmed intelligence logic, and all associated intellectual property—are owned exclusively by Zyntro or its licensors.

This includes, without limitation:

  • All source code, backend systems, algorithms, and architectures
  • The segmentation engine (Segmentation Intelligence)
  • The programmed automation engine (Programmed Intelligence)
  • JSON schemas, component libraries, rendering frameworks, and design systems
  • All workflow engines and execution pipelines
  • All forms builders, website builders, automation builders, chat systems, and AI orchestration logic
  • All user interface elements and layout structures
  • All documentation, guides, assets, and system prompts
  • All LLM, vision, content, and automation logic developed by Zyntro
  • All internal scoring systems, analytics, and proprietary logic

Nothing in this Agreement transfers ownership of the Services to you.

13.2. License to Use the Services

Zyntro grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services solely for your internal business operations.

This license does not include any rights to:

  • Reverse engineer
  • Decompile
  • Disassemble
  • Copy
  • Clone
  • Replicate
  • Resell
  • Create derivative works
  • Train competing tools
  • Replicate workflows, schemas, or design systems
  • Extract source code or proprietary logic
  • Benchmark for competitive analysis

Any unauthorized use immediately terminates your license.

13.3. Strict Prohibition on Reverse Engineering

You agree not to:

  • Reverse engineer, decompile, disassemble, decode, or attempt to derive source code
  • Access underlying logic, algorithms, model selection, orchestration systems, routing paths, prompts, or LLM orchestration
  • Discover platform internals through inspection, scraping, traffic analysis, or debugging tools
  • Analyze or attempt to replicate Zyntro’s segmentation or programmed automation logic
  • Extract, modify, or replicate JSON schemas, internal configuration, or architectural patterns
  • Use automated tools to map, clone, or infer the underlying system

Any reverse-engineering or attempt thereof constitutes material breach and may result in immediate termination, legal action, and damages.

13.4. No Competitive Use or Derivative Platforms

You may not:

  • Build, train, or assist in creating competing software, AI products, automation platforms, builders, or workflows
  • Repurpose or reuse Zyntro’s prompts, workflows, JSON schemas, or system structures to build competing tools
  • Use Output, UI elements, or platform behavior to create derivative software
  • Allow consultants, contractors, or partners to analyze Zyntro for competitive insights
  • Benchmark Zyntro for competitive intelligence or comparison
  • Train LLMs on Zyntro output, designs, workflows, or platform assets
  • Use platform data to enhance or build other AI-related products

This prohibition covers both direct, indirect, and disguised competitive activity.

13.5. Feedback Does Not Transfer Ownership

If you provide:

  • Feedback
  • Suggestions
  • Improvement ideas
  • Feature requests
  • Bug reports
  • Workflow ideas
  • Conceptual structures
  • Enhancements
  • Beta insights
  • Prompt designs
  • UI/UX suggestions

Then:

  • Zyntro owns all rights, title, and interest in and to the Feedback
  • Zyntro may use Feedback freely, without obligation
  • Feedback does not give you any ownership or rights to resulting features, improvements, or intellectual property
  • No revenue share, credit, royalty, or compensation is owed
  • All enhancements or features inspired by your Feedback remain 100% owned by Zyntro

You irrevocably assign all rights in Feedback to Zyntro.

13.6. No Rights in Zyntro’s Models, Prompts, or Logic

You have no rights to:

  • System prompts
  • Model configurations
  • Routing engines
  • Reasoning chains
  • Data flows
  • Prompt engineering frameworks
  • Scoring algorithms
  • Feature generation logic
  • Ware manifests
  • Component builder schemas
  • Rendering logic

All such materials constitute Zyntro’s proprietary trade secrets.

13.7. Protection of Trade Secrets

You acknowledge that:

  • Zyntro’s platform contains proprietary trade secrets
  • The design of workflows, segmentation logic, and system intelligence is confidential
  • The JSON component library and rendering engine are proprietary
  • The website builder’s conversion logic, quality scoring system, and CSS architecture are proprietary
  • Any leakage, reproduction, or exposure harms Zyntro commercially

You agree to protect Zyntro’s trade secrets with the same care you use to protect your own confidential information, and not less than reasonable care.

13.8. Restrictions on Data, Schema & Output Usage

You may not:

  • Export Zyntro schemas to build parallel systems
  • Repurpose Output to train external or competing AI systems
  • Use generated designs, layouts, or structures to create derivative builders
  • Reproduce Zyntro’s system prompts or orchestration outside the platform

This ensures Zyntro remains the sole source of Zyntro-generated intelligence.

13.9. Trademark & Branding Restrictions

You may not:

  • Use Zyntro’s trademarks, logos, branding, or domain names without written permission
  • Misrepresent affiliation, partnership, or endorsement
  • Remove or obscure Zyntro branding from platform interfaces

Limited screenshots for approved cases (tutorials, documentation) must adhere to Zyntro’s brand guidelines.

13.10. Reservation of Rights

Zyntro reserves all rights not expressly granted herein.

14. Termination, Suspension & Account Closure

14.1. Termination by the Customer

You may terminate your Account at any time by:

  • Closing the Account through the platform (where available), or
  • Submitting a termination request to Zyntro Support

Termination does not entitle you to:

  • Refunds
  • Prorated credits
  • Wallet balance refunds
  • Reimbursement of usage-based charges
  • Reinstatement of data after deletion periods expire

All outstanding fees remain due upon termination.

14.2. Termination or Suspension by Zyntro (For Any Reason)

Zyntro may suspend or terminate your Account, access to specific features, or the entire Service at any time, with or without notice, for any reason, including but not limited to:

  • Violations of these Terms
  • Misuse of the Services
  • Excessive or abusive usage
  • Non-payment or declined payments
  • Fraud, suspected fraud, or suspicious activity
  • Breach of compliance obligations
  • Legal or regulatory risk
  • Security concerns
  • Platform or infrastructure protection
  • Requests from law enforcement or government agencies
  • Conduct that harms or may harm Zyntro, its vendors, or other customers

Zyntro has no obligation to provide warnings prior to suspension.

14.3. Immediate Suspension for High-Risk Activity

Zyntro may immediately suspend access to the Services where your activity poses (or appears to pose) a high level of risk, including:

  • Excessive spam complaints (email or SMS)
  • High call failure/error rates
  • A2P 10DLC violations
  • Carrier or ESP (Postmark/Twilio) warnings
  • Abuse of AI voice calling (Phona)
  • Harmful or unlawful content
  • Attempts to circumvent restrictions, rate limits, or platform controls
  • Reverse engineering, security probing, or unauthorized access attempts
  • Activity that threatens Zyntro’s infrastructure, reputation, or vendor accounts

The suspension may apply to specific features or the entire Account.

14.4. Termination for Cause

Zyntro may terminate your Account for cause, effective immediately, if you:

  • Engage in illegal or fraudulent activity
  • Use the Services to send unlawful, harmful, or deceptive communications
  • Violate telemarketing, privacy, or communication laws
  • Misuse segmentation or programmed intelligence in a way that harms others
  • Attempt to reverse engineer, clone, or replicate the platform
  • Use the Services to compete with Zyntro
  • Upload or process prohibited data (see §12.12)
  • Resell, sublicense, or improperly share access
  • Disrupt or damage Zyntro’s systems, infrastructure, or vendor relationships

Termination for cause does not entitle you to:

  • Refunds
  • Credits
  • Data recovery beyond the retention period

14.5. Effect of Termination

Upon termination:

  • Your access to the Services is disabled
  • Automations, workflows, calls, emails, and SMS immediately stop
  • Segmentation and programmed intelligence cease functions
  • All API keys, tokens, and platform access are revoked
  • Customer-facing experiences (forms, websites, funnels, widgets) may stop functioning
  • You remain responsible for all fees incurred prior to termination

Termination does not limit Zyntro’s right to pursue unpaid fees or damages.

14.6. Data Access After Termination

After termination:

  • Zyntro may retain Customer Data for a limited window (e.g., 30 days)
  • You may request export of Customer Data within this window (where technically feasible)
  • After the retention window, Zyntro may permanently delete Customer Data

Zyntro is not liable for:

  • Loss of data after the retention period
  • Inability to recover deleted data
  • Data loss caused by your early termination

Zyntro retains Derived Data and Usage Data as described in Part 11.

14.7. Outstanding Fees Upon Termination

Termination does not eliminate your responsibility to pay:

  • Subscription fees through the current billing cycle
  • Usage-based fees already incurred
  • Communication fees (call, SMS, carrier, platform minutes)
  • Wallet top-ups already processed
  • Enterprise invoices
  • Any applicable taxes or surcharges

Zyntro may pursue legal action or collections for unpaid balances.

14.8. No Liability for Termination

Zyntro is not liable for:

  • Loss of business
  • Loss of profits
  • Loss of data
  • Reputational damage
  • Downtime or disruption
  • Loss caused by termination or suspension

Termination does not give rise to:

  • Claims for damages
  • Claims for reinstatement
  • Claims for compensation
  • Claims for equitable relief

All termination-related risk lies with the customer.

14.9. Reactivation

Reactivation, if offered, may require:

  • Proof of compliance
  • Payment of outstanding balances
  • Updated identity verification
  • Security review
  • Upgraded subscription plans
  • Updated consent or compliance documentation

Zyntro may deny reactivation at its sole discretion.

14.10. Survival of Key Provisions

The following sections survive termination:

  • Data Ownership & Rights (Part 11)
  • Privacy & Data Processing (Part 12)
  • Intellectual Property & Anti-Reverse Engineering (Part 13)
  • Payment Terms (Part 7)
  • Disclaimers & Limitation of Liability
  • Indemnification obligations (especially Phona/AI calling)
  • Governing Law & Dispute Resolution
  • Any rights or obligations that naturally survive termination

These continue to apply even after your Account is closed.

15. Disclaimers & Limitation of Liability

15.1. General Disclaimer

The Services, including all AI features, automations, workflows, segmentation, programmed intelligence, voice calling, content generation, websites, forms, and any related tools (“the Services”), are provided on an “AS IS” and “AS AVAILABLE” basis.

Zyntro makes no warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy
  • Reliability
  • Security
  • Timeliness
  • Non-infringement
  • Error-free operation
  • Compatibility with specific jurisdictions or legal requirements

Your use of the Services is entirely at your own risk.

15.2. AI-Specific Disclaimer

Due to the nature of artificial intelligence:

  • Responses may be inaccurate, incomplete, unpredictable, or inappropriate
  • Outputs may deviate from prompts or instructions
  • Models may behave differently after vendor updates
  • Generated content may require human review
  • AI may misinterpret data, context, or user intent
  • LLMs may hallucinate or generate erroneous information

Zyntro does not guarantee the accuracy, legality, or appropriateness of any AI-generated Output.

You are solely responsible for reviewing and approving Output before use.

15.3. No Liability for Segmentation Intelligence, Programmed Intelligence, or Automations

Zyntro is not liable for:

  • Actions taken automatically by Segmentation Intelligence (SI)
  • Actions or decisions made by Programmed Intelligence (PI)
  • Automated workflows, triggers, message sends, or call initiations
  • Any operational, financial, or reputational loss caused by automations
  • Messaging or communication actions taken based on your logic, rules, or thresholds
  • Mistakes arising from user-defined thresholds, prompts, or segment rules
  • Missed leads, incorrect routing, or incorrect segmentation
  • Errors in call flows, scripts, email sequences, or automation logic

You accept full responsibility for the behavior of automations in your account.

15.4. No Liability for Communication Failures

Zyntro is not liable for:

  • Carrier filtering
  • Email deliverability issues
  • Spam classification
  • SMS blocks or delays
  • Call drops or call failures
  • AI call behavior (Phona)
  • A2P registration outcomes
  • Verification or compliance failures with carriers
  • Global telecom routing issues
  • Incorrect call/SMS charges from carriers

All risks associated with communication channels lie with the customer.

15.5. No Liability for Customer Compliance Failures

Zyntro is not responsible for:

  • TCPA / TSR / DNC violations
  • GDPR/CCPA/PDPA or regional privacy violations
  • Consent failures
  • Incorrect privacy notices
  • Unlawful marketing actions
  • Data misuse
  • Use of AI to generate or deliver regulated content
  • AI calls conducted without proper disclosure
  • Call recording compliance failures
  • Non-compliance with local telecommunication laws

You assume all legal responsibility for how you use the Services.

15.6. No Liability for Customer Data Loss

Zyntro is not liable for:

  • Loss of Customer Data
  • Corruption of Customer Data
  • Inability to restore backups
  • Data lost after termination
  • Data lost due to user error
  • Data deleted by the customer
  • Data removed after retention windows

You are responsible for exporting and backing up your data.

15.7. No Liability for Third-Party Services

Zyntro is not liable for problems caused by:

  • Upstream AI model providers
  • Email infrastructure (Postmark, SendGrid, SES)
  • Telephony infrastructure (Twilio, Telnyx)
  • Calendar providers (Google, Microsoft)
  • Analytics tools, DNS providers, or hosting vendors
  • Third-party outages, price changes, or policy changes

Zyntro provides no warranty regarding third-party performance.

15.8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZYNTRO, ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ANY OTHER FORM OF DAMAGES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

WITHOUT LIMITING THE FOREGOING, ZYNTRO SHALL HAVE NO LIABILITY WHATSOEVER FOR:

  • AI model outputs
  • Segmentation Intelligence decisions
  • Programmed Intelligence actions
  • Automated workflows or triggers
  • Communication failures (calls, SMS, email)
  • Third-party service outages
  • Incorrect, unexpected, or harmful AI behavior
  • Business interruption
  • Lost revenue, profits, or opportunities
  • Reputational harm
  • Data loss or corruption

IF ANY LIABILITY IS FOUND NOTWITHSTANDING THE ABOVE EXCLUSIONS, SUCH LIABILITY SHALL BE LIMITED TO ONE U.S. DOLLAR (USD $1).

THIS LIMITATION REFLECTS THE ALLOCATION OF RISK UNDER WHICH ZYNTRO OFFERS THE SERVICES.

15.9. Essential Basis of the Bargain

You acknowledge that:

  • The Services involve significant technological and regulatory complexity
  • AI behavior is inherently unpredictable
  • Automations can act without human oversight
  • Communication channels are inherently unreliable
  • The fees charged by Zyntro are based on these disclaimers and limitations

Without these limitations, Zyntro could not provide the Services at commercially viable pricing.

16. Indemnification

16.1. Customer Indemnification Obligations

You agree to indemnify, defend, and hold harmless Zyntro, its owners, directors, employees, contractors, affiliates, agents, licensors, and partners (“Indemnified Parties”) from and against any and all claims, actions, demands, investigations, penalties, fines, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

(a) Your use of the Services

Including but not limited to:

  • Segmentation Intelligence decisions
  • Programmed Intelligence actions
  • Automated workflows
  • AI-generated content
  • AI phone calls or scripts (Phona)
  • AI emails, SMS, or outbound messages
  • Form submissions, routing, or CRM logic
  • Any Output used publicly or internally

(b) Your content

Including:

  • Customer Data
  • Uploaded files
  • Prompts
  • Email/SMS templates
  • Call scripts
  • Websites or landing pages
  • Forms and automations
  • Data collected through your Zyntro assets

(c) Your violation of laws or regulations

Including (without limitation):

  • TCPA, TSR, DNC rules
  • GDPR / UK GDPR / CCPA / CPRA / PDPA
  • Telemarketing, calling, SMS, and robocall laws
  • Email marketing laws (e.g., CAN-SPAM)
  • Privacy or data protection laws
  • Consumer protection or advertising laws

This includes all claims arising from your:

  • Lack of consent
  • Misuse of call recording
  • AI call disclosures
  • Unlawful outbound or automated communication

(d) Third-party claims

Claims from:

  • Consumers or leads you contacted
  • People recorded on calls
  • Recipients of emails or SMS
  • Data subjects whose information you collected
  • Carriers or telecommunication providers
  • Regulatory agencies

You cover all claims, lawsuits, complaints, and disputes initiated by third parties.

(e) AI output or decisions

This includes:

  • Incorrect, harmful, or misleading AI content
  • AI hallucinations
  • Automated decisions based on your rules
  • Unexpected responses during Phona calls
  • Incorrect segmentation or personalization
  • Website content errors
  • AI-generated recommendations

Zyntro is not responsible for what your AI outputs.

(f) Violations of third-party terms

Including but not limited to:

  • OpenAI
  • Anthropic
  • Google
  • ElevenLabs
  • Twilio
  • Postmark
  • Microsoft/Google APIs
  • Cloud vendors

If your behavior causes enforcement, fines, or account restrictions, you indemnify Zyntro fully.

(g) Breach of these Terms

Any breach — including, without limitation:

  • Reverse engineering
  • Intellectual property violations
  • Excessive usage or abuse
  • Spam-related issues
  • Prohibited use or prohibited industries
  • Unauthorized sharing of access
  • Misuse of segmentation or automation logic

16.2. Duty to Defend

Your indemnification obligations include:

  • Hiring and paying for counsel reasonably acceptable to Zyntro
  • Fully funding the defense of the Indemnified Parties
  • Not settling any claim without Zyntro’s prior written consent
  • Covering all judgments, penalties, carrier fines, and settlements

Zyntro may participate in the defense at its own cost.

16.3. Zyntro’s Right to Step In

If you fail to promptly defend any claim, Zyntro may (but is not required to):

  • Assume control of the defense
  • Conduct settlement negotiations
  • Protect its own interests

In such cases, you remain fully responsible for all associated costs.

16.4. Survival

Your indemnification obligations:

  • Survive termination of your Account
  • Survive cancellation or suspension
  • Survive expiration of these Terms
  • Remain enforceable indefinitely

This ensures Zyntro is protected even if a claim arises long after you stop using the platform.

17. Governing Law & Dispute Resolution (Singapore Law + SIAC Arbitration)

17.1. Governing Law

These Terms, and any dispute, claim, or controversy arising out of or relating to the Services, will be governed exclusively by the laws of Singapore, without regard to any conflict of laws principles that would result in the application of laws of another jurisdiction.

You acknowledge and agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms or to any use of the Services.

17.2. Mandatory Arbitration (SIAC)

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to:

  • these Terms,
  • the Services,
  • AI-generated outputs,
  • automations,
  • segmentation or programmed intelligence,
  • communication features (calls/SMS/email),
  • or any interaction with Zyntro

shall be resolved exclusively through binding arbitration administered by the Singapore International Arbitration Centre (SIAC).

Arbitration rules

  • Arbitration shall be conducted in accordance with the SIAC Rules in effect at the time of submission.
  • The seat of arbitration shall be Singapore.
  • The venue shall be Singapore.
  • The language of arbitration shall be English.
  • The tribunal shall consist of one (1) arbitrator, appointed by SIAC.
  • Discovery shall be limited to what the arbitrator considers strictly necessary.
  • Hearings may be conducted remotely at the arbitrator’s discretion.

Costs

Each party shall bear its own legal fees and share arbitration costs equally, unless the arbitrator determines that a party acted in bad faith or abused the process.

17.3. Waiver of Class Actions

To the fullest extent permitted by law:

All disputes must be brought on an individual basis only.

You irrevocably waive any right to:

  • bring or participate in a class action,
  • act as a class representative or class member,
  • pursue consolidated or collective actions,
  • join claims of other individuals in arbitration.

The arbitrator is expressly prohibited from consolidating claims or presiding over class, collective, group, or representative proceedings.

17.4. Waiver of Jury Trial

To the extent any dispute were ever permitted to proceed in a court of law (contrary to these Terms), you irrevocably waive any right to a trial by jury.

This clause survives termination of your account.

17.5. Limited Court Proceedings (Injunctive Relief Only)

Notwithstanding the arbitration clause:

Zyntro may bring an action in the courts of Singapore solely to obtain:

  • temporary restraining orders,
  • preliminary or permanent injunctions,
  • orders to protect its intellectual property,
  • orders to prevent unauthorized access to the Services,
  • orders to stop breaches of confidentiality or misuse of proprietary technology.

No other claims may be brought in court by either party.

You irrevocably submit to the exclusive jurisdiction of the courts of Singapore for such proceedings.

17.6. One-Year Limitation Period

ANY CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THE SERVICES MUST BE FILED WITH SIAC WITHIN ONE (1) YEAR after the event giving rise to the claim occurred.

After this period, you permanently forfeit the claim.

17.7. International Users

If you access the Services from outside Singapore:

  • You do so at your own initiative and risk.
  • You are solely responsible for complying with applicable local laws.
  • You agree not to bring or initiate any claim, action, or proceeding in any court outside Singapore.
  • You consent to the exclusive jurisdiction of Singapore courts for injunctive matters and SIAC arbitration for all other matters.

17.8. Survival

The provisions of this Section 17:

  • survive termination of your account,
  • survive expiration or cancellation of these Terms,
  • remain enforceable indefinitely,
  • apply to all disputes whether arising before or after account closure.

18. Service Availability, Modifications, and Beta Features

18.1. No Guarantee of Availability

The Services may be temporarily or permanently unavailable, slowed, interrupted, or degraded for reasons including but not limited to:

  • Maintenance or upgrades
  • Unexpected outages
  • Network or infrastructure failures
  • Cloud provider disruptions
  • AI model downtime
  • Telecom carrier issues
  • Email/SMS provider failures
  • High traffic or load
  • Software updates, patches, or deployments
  • Third-party service outages
  • Security incidents
  • Force majeure events

Zyntro does not guarantee:

  • uninterrupted service,
  • error-free operation,
  • real-time access,
  • delivery of messages or calls,
  • availability at any specific time or region.

You agree that service interruptions are normal and expected in cloud-based AI systems.

18.2. No Service-Level Agreements (SLAs)

Unless explicitly stated in a separate, signed Enterprise Agreement:

  • Zyntro provides no SLA,
  • no guaranteed uptime,
  • no guaranteed speed,
  • no guaranteed response times,
  • no guaranteed quality or accuracy,
  • and no remedies or credits for downtime.

This applies to both Zyntro's infrastructure and any upstream provider integrated into the platform.

  • add, remove, or modify features,

  • change AI providers or model configurations,
  • update workflows or internal logic,
  • deprecate or sunset specific features,
  • revise user interfaces or UX components,
  • introduce new pricing for newly added features,
  • release enhancements or experimental updates,
  • restrict or limit usage temporarily or permanently.

You agree that such changes:

  • may alter functionality,
  • may impact workflows,
  • may break or require changes to your existing configurations,
  • may require additional setup or adjustments from your team,
  • do not constitute a breach of these Terms.

Zyntro assumes no liability for such changes.

18.4. Beta Features, Experimental Tools & Pre-Release Technology

Zyntro may offer access to:

  • beta features,
  • experimental tools,
  • pre-release models,
  • early-access components,
  • prototype intelligence systems,
  • preview versions of segmentation or programmed intelligence enhancements.

All such features are provided “AS IS”, “AS AVAILABLE”, with:

  • no guarantees,
  • no stability assurances,
  • no support commitments,
  • no performance expectations,
  • and no liability whatsoever for their behavior.

You assume all risk associated with using beta or experimental features.

Zyntro may modify or remove these features at any time without notice.

18.5. Dependencies on Third-Party Services

The Services rely on external providers including, without limitation:

  • AI model providers (OpenAI, Anthropic, Google, etc.)
  • Voice and telephony infrastructure (Twilio, carriers, PSTN)
  • Email delivery platforms (Postmark)
  • SMS and carrier networks (A2P 10DLC, international SMS routes)
  • Web hosting, DNS, and CDN providers
  • Cloud infrastructure vendors
  • Calendar integrations (Google, Microsoft)
  • Payment processors (Stripe, PayPal)

Zyntro is not responsible for:

  • outages or delays caused by these providers,
  • changes in their pricing, policies, or functionality,
  • content generated by upstream models,
  • throttling, rate limits, or message filtering,
  • carrier blocks, spam filtering, or rejection,
  • API downtime or instability,
  • failures caused by any third-party dependency.

You agree that any such disruptions do not constitute a failure of the Services.

18.6. Right to Perform Maintenance

Zyntro may perform:

  • scheduled maintenance,
  • unscheduled emergency maintenance,
  • database upgrades,
  • index rebuilds,
  • infrastructure patches,
  • performance tuning,
  • security updates.

This may cause temporary:

  • slowdown,
  • inaccessibility,
  • disruption of automation,
  • message delivery delays,
  • segmentation or workflow pauses.

Zyntro is not liable for timing, duration, or impact of maintenance.

18.7. Changes Required for Compliance

Zyntro may modify or restrict features when required to:

  • comply with laws or telecom regulations,
  • respond to carrier or ISP policy updates,
  • maintain sending reputation (email/SMS),
  • adhere to AI provider usage restrictions,
  • meet safety, privacy, or risk frameworks.

These changes may:

  • remove or alter features,
  • impose additional limitations,
  • require re-verification of domains or phone numbers,
  • enforce consent mechanisms,
  • require compliance updates from you.

No refunds or compensation will be provided for compliance-driven changes.

18.8. No Responsibility for Customer Misconfiguration

Zyntro is not responsible for issues caused by:

  • incorrect customer configuration,
  • misapplied automations,
  • faulty segmentation logic,
  • errors in templates or scripts,
  • broken website settings,
  • misrouted workflows,
  • conflicting triggers,
  • poor prompt design,
  • user-created errors.

You are solely responsible for testing, validating, and reviewing all configuration changes within your account.

18.9. Survival

All disclaimers and limitations in this Section survive termination of your account.

19. Modifications to Terms

19.1. Right to Modify

Zyntro may modify, update, or replace these Terms at any time, in its sole discretion, with or without prior notice to you.

Such modifications may include, without limitation:

  • changes to features or functionality,
  • updates to pricing or usage guidelines,
  • new legal requirements,
  • regulatory or compliance-driven changes,
  • updates reflecting new AI or automation capabilities,
  • changes to third-party integrations,
  • updates to our risk, safety, or security policies,
  • revisions to reflect changes in applicable laws.

19.2. Method of Notification

Zyntro may notify you of material changes to the Terms by:

  • posting the updated Terms on the website,
  • displaying an in-app notification,
  • sending an email to the address associated with your account,
  • or any other reasonable communication method.

Notification is not required for changes that:

  • do not materially reduce your rights,
  • relate to new features,

These changes remain binding upon publication.

This Section survives termination of your account.

20. Waiver & Severability

20.1. No Waiver

No failure or delay by Zyntro to enforce any term, condition, or provision of these Terms shall be deemed a waiver of such term or of the right to enforce it at any time thereafter.

Any waiver by Zyntro must be:

  • explicit,
  • in writing,
  • signed by an authorized representative of Zyntro.

No other communication or conduct shall constitute a waiver.

20.2. Severability

If any provision of these Terms is held to be invalid, illegal, void, or unenforceable by a court or arbitrator of competent jurisdiction:

  • such provision shall be severed or limited to the minimum extent necessary,
  • the remaining provisions shall remain in full force and effect, and

Under no circumstances shall the invalidity of one clause affect the validity or enforceability of the remainder of the Terms.

No previous communication—written, verbal, or implied—creates any obligation or warranty unless expressly incorporated into a signed agreement.

21.3. No Reliance on External Representations

  • you are not relying on any representations, warranties, or statements other than those expressly stated in these Terms;
  • Zyntro makes no commitments or guarantees based on product videos, demos, sales discussions, website content, or marketing materials;
  • no features, functionality, or outcomes are guaranteed beyond what is specified in writing in these Terms or a signed Enterprise Agreement.

Any external statements regarding speed, accuracy, performance, outcomes, quality, deliverability, or AI behavior are illustrative only and shall not be construed as warranties.

21.4. Priority of Order Forms / Enterprise Agreements

If you enter into an Enterprise Agreement or signed Order Form with Zyntro:

  • that document governs only where it explicitly conflicts with these Terms;
  • all other sections of these Terms remain binding and enforceable.

No Enterprise Agreement may be modified except through a mutually signed written amendment.

21.5. No Oral Modifications

No employee, contractor, agent, or representative of Zyntro has the authority to modify these Terms or make binding commitments unless:

  • the modification is in writing,
  • issued by Zyntro,
  • and signed by an authorized officer.

Oral statements—even if made by senior employees—are non-binding and unenforceable.

21.6. Survival

This Entire Agreement clause survives:

  • account termination,
  • service suspension,
  • expiration of subscription,

  • Segmentation Intelligence (SI) and Programmed Intelligence (PI) may take automated actions based on your configuration and thresholds;
  • you are solely responsible for any decisions, actions, communications, automations, or business outcomes resulting from AI behavior;
  • the Services include experimental, evolving, and probabilistic systems that may change over time.

22.3. Acceptance of Automation Risks

You acknowledge and agree that:

  • automated workflows, triggers, call flows, segmentation, and programmed logic may act without human confirmation;
  • Zyntro is not responsible for misfires, incorrect logic, misclassification, wrong routing, unintended communications, or automation errors;
  • you are solely responsible for testing, validating, and monitoring all automations;
  • you assume all risk for business outcomes generated by automated systems or AI-driven tools.

22.4. Acceptance of Communication Risks

You acknowledge that:

  • calls, SMS, and emails may fail, be delayed, blocked, filtered, or misdelivered;
  • carriers and email providers may impose restrictions or filtering beyond Zyntro’s control;
  • telecom, A2P, and email deliverability laws require your own compliance;
  • Zyntro is not liable for any issues related to communication performance, deliverability, routing, or blocking.

22.5. Acceptance of Compliance Obligations

You acknowledge and agree that:

  • you alone are responsible for ensuring compliance with all applicable laws (including TCPA/TSR, GDPR/CCPA, PDPA, spam regulations, A2P 10DLC, consent requirements, call recording laws, privacy disclosures, etc.);
  • Zyntro does not provide legal advice, compliance auditing, or regulatory assurance;
  • Zyntro may provide compliance-related tools or recommendations, but these do not constitute legal guarantees or legal services.

22.6. Acceptance of All Risk Allocation

You acknowledge that:

  • the disclaimers, indemnification requirements, arbitration terms, and the strict limitation of liability (including the USD $1 maximum liability) are fundamental elements of this agreement;
  • without these protections, Zyntro could not provide the Services;
  • your acceptance of these Terms reflects a fair and reasonable allocation of risk.

22.7. Binding Consent

By creating an account, accessing the Services, or continuing to use Zyntro:

You agree that these Terms form a binding legal agreement between you and Zyntro.

No use of the Services is permitted unless you accept these Terms in full.
